The account has to be converted, or a new one opened, and for investments meant to be repatriated, the RBI requires a specific structure: the Portfolio Investment Scheme.

The PIS is not a product. It is a regulatory framework. It sits between the NRI, the bank, and the broker, ensuring that every equity transaction is recorded, reported, and kept within the foreign investment limits set for NRIs.

what the PIS account actually is

A PIS account is a dedicated bank account opened with an authorised dealer (AD) bank that has RBI approval to administer the scheme. It is separate from the regular NRE or NRO savings account, though it is funded from it .

An NRE-PIS account is funded from foreign remittances or an existing NRE account. The investments made through it are fully repatriable. An NRO-PIS account is funded from Indian-source income in an NRO account. The investments are non-repatriable, and the proceeds face the USD 1 million annual limit .

Only one AD bank per NRI is permitted. The bank allocates a unique code, and the account is linked to a demat account marked as repatriable or non-repatriable, depending on the route .

how the transaction flow works

The PIS route adds a layer of reporting to every trade.

Funding. The NRE or NRO savings account is debited, and the funds are moved to the PIS account. The PIS account must be pre-funded before a buy order is placed. Intraday trading and leverage are not allowed. Every trade requires 100% upfront funding and delivery .

Order placement. The NRI places the order through a registered stock broker. The broker executes the trade on the exchange.

Reporting. On every trade day, the broker sends an electronic contract note to the AD bank. The bank then reports the transaction to the RBI through the Online Report Filing System. The NSDL and CDSL also publish daily caution lists to monitor the aggregate NRI holding in each company .

Settlement. The shares are credited to or debited from the linked demat account. The funds move between the PIS account and the demat account automatically.

This reporting is the main difference from a non-PIS route. The PIS keeps the RBI informed of every NRI equity transaction, which is how the regulatory limits are enforced.

the investment limits

The RBI caps how much NRIs can hold in any single Indian company.

A single NRI can hold up to 5% of the paid-up capital of a listed company .

All NRIs together can hold up to 10% of the paid-up capital. This can be raised to 24% by a resolution of the company’s board and general body .

The RBI monitors these limits daily. When aggregate NRI holding reaches 8% (two percentage points below the 10% limit), the company enters the “caution list.” At 10%, it is banned from further NRI purchases until the holding falls .

what the PIS does not cover

The PIS is only required for secondary-market equity trading on a repatriation basis. Several other investments do not need it.

Mutual funds. NRIs can invest in Indian mutual funds through their NRE or NRO accounts without PIS permission. For mutual funds, IPOs, or non-repatriable investments, it is not required.

The reporting adds cost and paperwork. The bank charges a fee for administering the PIS, and the transaction reporting is mandatory. For an NRI with a small equity portfolio, the cost may outweigh the benefit.
