US Stock Investing: What Happens After You Place an Order?

Placing a US stock order from India seems like a step. Click buy, confirm and you think the job is done. In reality the order goes through stages before it turns into a holding. The process does not stop when the trade confirms. Settlement, tax reporting and future disclosures follow.

Knowing what happens at each stage helps an investor see when the trade is final when the money leaves and which records must be kept.

the order validation stage

The first step happens on the brokers platform. When an order is placed the platform checks that the account has funds that the stock can be traded and that the order type and price are valid.

For investors using GIFT City platforms this validation also checks compliance with the LRS framework. The remittance that funded the account is already classified under LRS. The trade itself is executed within the IFSCA‑regulated environment.

If the account is funded and the order is valid the order moves to routing.

routing to the US exchange

The order is then routed to the US exchange where the stock is listed. Most large‑cap US stocks trade on either the New York Stock Exchange (NYSE) or Nasdaq. The routing happens electronically through the brokers US partner or clearing arrangement.

At this stage the order joins the exchanges order book, which holds all buy and sell orders for that stock. The exchange matches buy orders with sell orders based on price and time priority.

For a market order the match happens quickly if the stock is liquid. For a limit order the order waits in the book until the price condition is met or the order is cancelled.

execution and the price received

When a match is found the trade executes. The execution price depends on the order type.

For a market order the trade executes at the available price at that moment. Slippage, the difference between the expected price and the executed price is usually small for liquid large‑cap stocks.

For a limit order the trade executes at the price or better. If the limit is $235 and the market price falls to $234 the order may execute at $234 or at $235 depending on how the order book’s structured.

The investor receives an execution confirmation immediately. On GIFT City platforms the trade appears in the account within seconds for stocks.

settlement: when the trade becomes

Execution and settlement are two different things. Execution is the agreement to trade. Settlement is the exchange of cash and shares.

US markets operate on a T+1 settlement cycle meaning the trade settles one business day after execution. Until settlement the trade is. Not finalised.

For an investor the settlement happens within the US clearing system. The shares are credited to the investors account held by the US custodian and the cash is debited from the brokerage balance.

The investor is the owner of the shares. The custodian holds them on the investors behalf. The platform provides the trading access.

the contract note and confirmation

After execution the broker issues a contract note. This document records the trade details: the stock, the quantity, the price the brokerage charged and the date of the trade.

The contract note is important for tax filing. It establishes the cost of acquisition for capital gains purposes. It records the transaction for Schedule FA disclosure.

For dividend income the platform provides statements showing the gross dividend, the US withholding tax and the net amount credited.

the tax and reporting obligations that follow

The trade is complete. The compliance obligations have just begun.

Schedule FA disclosure. If the investor is a Resident and Ordinarily Resident taxpayer, the US stock holding must be disclosed in Schedule FA of the income tax return for that year. This applies even if the shares were bought and held, with no sale and no dividend. The disclosure runs on the calendar year from 1 January to 31 December.

Form 67 for dividend tax credit. If the stock pays a dividend the US withholds 25% (assuming Form W-8BEN is, on file). India taxes the dividend at the slab rate. Form 67 filed before the return allows a Foreign Tax Credit to offset the US portion, capped at the lower of the two liabilities.

Capital gains at sale. When the shares are eventually sold the Capital gains are treated as securities under Indian tax law. The long‑term holding period is 24 months. Capital gains after 24 months are taxed at 12.5% without indexation. Capital gains before 24 months are added to income. Taxed at the slab rate.

Currency conversion for tax. Both the purchase cost and the sale proceeds must be converted to rupees using the prescribed exchange rate. If the rupee depreciates during the holding period the taxable Capital gains in terms will be higher than the Capital gains in dollar terms.

What happens if the order does not execute. A limit order that does not meet its price condition remains pending. The investor can cancel the order modify the price or leave the order active until it expires.

If the order is a GTC (limit order the order stays active for the brokers validity period, often 30 60 or 90 days. After that the order is automatically cancelled.

If the order is a market order placed during a session with liquidity the order may partially fill. The executed portion. The remaining portion stays pending or is cancelled depending on the order instructions.

What retail investors should take from this. The order is not the end of the process. The order is the beginning of a chain that includes execution, settlement, confirmation and ongoing reporting.

The execution is fast. Settlement takes a day. The contract note arrives after. But the Schedule FA disclosure the Form 67 filing and the 24‑month holding period for long‑term Capital gains all extend the obligation beyond the trade date.

For an investor to US stocks the most important thing to remember is that compliance does not end when the trade confirms. Compliance ends when the return is filed and the holding is disclosed.
